This document is a template and should be reviewed by qualified legal counsel before publication, especially if Rumbe AI is used in healthcare, insurance, financial services, or other regulated industries.

1. Platform overview

Rumbe AI is an AI-first customer support platform and a product of Vovance Inc. It is designed to help organizations deflect, triage, route, resolve, and manage customer support interactions.

The Scout is designed for rapid deployment of a branded AI chatbot and secure customer portal. The Mothership is designed for enterprise-grade AI support across chatbot, tickets, voice, routing, sentiment, secure actions, and operator governance.

2. Account registration and authority

  • Provide accurate account and organization information
  • Maintain the confidentiality of your credentials
  • Use secure passwords and authentication practices
  • Promptly notify us of suspected unauthorized access
  • Ensure only authorized users access your organization’s environment
  • Maintain accurate administrator, billing, and security contacts

You are responsible for activity under your account and organization environment.

3. Customer responsibility for deployments

  • Widget installation and domain whitelisting
  • Secure actions and integration workflows
  • Third-party provider accounts and API keys
  • Privacy notices, consent flows, and regulatory disclosures

4. Acceptable use

You may not use Rumbe AI to:

  • Violate applicable laws, regulations, or contractual obligations
  • Infringe intellectual property, privacy, publicity, or other rights
  • Upload or transmit unlawful, harmful, abusive, deceptive, or malicious content
  • Bypass authentication, authorization, tenant isolation, rate limits, or security controls
  • Reverse engineer, copy, modify, scrape, or exploit the platform except as permitted
  • Develop competing services without authorization
  • Introduce malware, harmful code, or unauthorized automation
  • Misrepresent AI-generated outputs as verified professional advice without review
  • Use the platform for emergency services, crisis response, or life-critical decisions
  • Process sensitive data without legal basis, notice, consent, or contractual safeguards

5. AI output and human review

  • AI-generated outputs may be incomplete, inaccurate, or outdated
  • Outputs should be reviewed before use in high-risk, regulated, or sensitive contexts
  • Customers are responsible for configuring escalation and human handoff
  • Customers validate AI behavior against their policies and obligations
  • Rumbe AI does not independently verify all customer-provided knowledge sources
  • Rumbe AI is not a substitute for professional judgment

6. Knowledge base and source-anchored responses

Rumbe AI is designed to answer from approved customer knowledge sources where configured. Customers are responsible for ensuring that uploaded, connected, or authorized knowledge sources are accurate, current, lawful, authorized for use, free of unnecessary sensitive data, and appropriate for customer-facing AI responses.

7. BYOL and third-party integrations

Rumbe AI may support BYOL/BYOK integrations with providers such as OpenAI, Groq, Gemini, Twilio, Stripe, SMTP, analytics, and hosting providers. When you connect a third-party provider:

  • You authorize Rumbe AI to use that provider on your behalf
  • You are responsible for your own provider account, billing, usage limits, and terms
  • You are responsible for ensuring the provider is appropriate for your data and regulations
  • You are responsible for maintaining valid API keys and permissions
  • Rumbe AI is not responsible for outages, changes, pricing, or data practices of third parties

8. Secure actions

  • Defining which actions are permitted
  • Verifying user identity where required
  • Ensuring payment and account workflows comply with applicable law
  • Reviewing action logs
  • Preventing unauthorized or high-risk automation
  • Providing fallback human support where appropriate

9. Data protection and security

  • Data classification tiers for High, Medium, and Low sensitivity data
  • PII and PHI handling controls
  • HMAC-based blinded indices for email lookup
  • Soft-delete patterns to support erasure workflows
  • Organization-level data isolation
  • AES-256-GCM secret encryption with unique IVs and authentication tags
  • Application-level encryption keys separated from database credentials
  • JWT-based authentication and secure session management
  • Audit logs for administrative and operational activity
  • PHI access auditing where applicable
  • AI transaction integrity logs using SHA-256 hashes
  • Strict API schema validation
  • Widget public/secret key validation

10. Customer data

As between the customer and Rumbe AI, the customer retains ownership of customer data. You grant Rumbe AI and Vovance Inc. the rights necessary to host, process, transmit, retrieve, analyze, and display customer data solely to provide, secure, support, maintain, and improve the services. We do not sell customer data, PII, or PHI. We do not use customer content, PII, or PHI to train public AI models unless explicitly agreed in writing and legally permitted.

11. Confidentiality

  • Use confidential information only for authorized purposes
  • Protect confidential information using reasonable care
  • Limit disclosure to personnel and providers who need access
  • Not disclose confidential information except as permitted by agreement or law

12. Compliance and regulated use

For healthcare or PHI-related workflows, a Business Associate Agreement may be required before PHI is processed. Customers must not use Rumbe AI to process PHI, regulated financial data, payment card data, children’s data, or other highly regulated information unless they have appropriate legal authority, notices, agreements, provider configurations, and safeguards in place.

13. Payment, plans, billing, and commercial administration

Commercial matters for Rumbe AI are handled by Vovance Inc. — contracts, order forms, invoices, billing, payment collection, renewals, and account-commercial communications.

  • Fees are due according to the applicable order or subscription terms
  • Taxes are the customer’s responsibility
  • Usage-based charges may apply for AI, voice, messaging, email, storage, or integrations
  • BYOL provider fees may be billed directly by the provider to the customer
  • Failure to pay may result in suspension or termination of access

14. Availability and support

We aim to provide reliable access to Rumbe AI but do not guarantee uninterrupted or error-free operation unless expressly agreed in a separate SLA. The platform may be unavailable due to maintenance, updates, security events, customer configuration errors, third-party outages, network issues, or force majeure.

15. Beta, trial, or preview features

Beta, trial, experimental, preview, or early access features may be incomplete, change without notice, have limited support, be removed or modified, and are not suitable for regulated or production use. Use of beta or preview features is at your own risk.

16. Intellectual property

Rumbe AI, including software, interfaces, workflows, designs, documentation, models, prompts, architecture, logos, branding, product names, The Scout, The Mothership, and related modules, is owned by Vovance Inc. or its licensors. Customers retain ownership of their own content. Feedback may be used without restriction provided we do not disclose your confidential information.

17. Restrictions

  • Copy, resell, sublicense, or commercially exploit Rumbe AI except as authorized
  • Circumvent product limits, billing controls, security measures, or access restrictions
  • Access another organization’s data
  • Use unauthorized scraping, crawling, or automated extraction
  • Interfere with platform performance, integrity, or security
  • Remove proprietary notices
  • Misrepresent your relationship with Rumbe AI or Vovance Inc.
  • Use outputs to create harmful, unlawful, deceptive, or abusive content

18. Suspension and termination

  • You breach these Terms
  • Payment is overdue
  • Use creates legal, privacy, security, or operational risk
  • Required agreements are missing for regulated data processing
  • We are required to do so by law or provider restriction
  • Your use threatens the platform, other customers, or end users

19. Disclaimers

Rumbe AI is provided on an “as is” and “as available” basis unless otherwise stated in writing. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free service, and accuracy of AI-generated output.

20. Limitation of liability

To the maximum extent permitted by law, Vovance Inc., Rumbe AI, affiliates, officers, employees, contractors, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Unless otherwise stated, aggregate liability will not exceed the amounts paid by the customer for the services in the twelve months before the event giving rise to liability.

  • Your configuration of AI workflows, prompts, integrations, or secure actions
  • Your violation of law or third-party rights
  • Your breach of these Terms
  • Your failure to provide required notices, consents, or agreements
  • Your use of third-party providers or BYOL integrations

22. Governing law and disputes

These Terms will be governed by the laws specified in the applicable order form. If none is specified, by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.

23. Changes to these terms

We may update these Terms from time to time. Continued use of Rumbe AI after changes become effective means you accept the updated Terms.
